11. Acceptance of Terms

By accessing or using ZildaChat's services, you confirm that you are at least 13 years old (or 16 in the EU), have read and understood these Terms, and agree to be legally bound by them. If you do not agree, do not use our services.
These Terms of Service ("Terms") govern your access to and use of ZildaChat's website, applications, APIs, and all related services (collectively, the "Services"). These Terms form a legally binding contract between you ("User", "you") and AZ Technology Soluções Digitais LTDA, CNPJ 27607249000116, operator of ZildaChat ("Company", "we", "us").
We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
22. Description of Services
ZildaChat provides an AI-powered conversational platform that enables users to interact with large language models for purposes including but not limited to:
- Natural language conversations and Q&A
- Writing assistance, editing, and content creation
- Code generation, debugging, and explanation
- Research assistance and information synthesis
- Translation and multilingual communication
- Creative projects and brainstorming
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
33. Eligibility & Account
Age: You must be at least 13 years old to use ZildaChat. Users in the EU/EEA must be at least 16. Users under 18 must have parental or guardian consent.
Account Security: You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorized access at security@zildachat.ai.
Accurate Information: You agree to provide accurate, current, and complete information during registration and to keep it updated.
One Account: You may not create multiple accounts to circumvent restrictions or bans. Each person may maintain only one account.
Account Transfer: Accounts are personal and non-transferable. You may not sell, trade, or transfer your account to another person.

ZildaChat's IP: All software, algorithms, designs, trademarks, logos, and content created by ZildaChat are our exclusive intellectual property. You may not copy, modify, distribute, or create derivative works without our written consent.
Your Content: You retain ownership of content you input into ZildaChat. By using our services, you grant us a limited, non-exclusive license to process your inputs solely to provide the service.
AI Outputs: Subject to applicable law, AI-generated outputs based on your prompts are provided to you for your use. You are responsible for ensuring your use of AI outputs complies with applicable laws and third-party rights.
Feedback: Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.
77. AI-Generated Content
Important Disclaimer
AI-generated content may be inaccurate, incomplete, or outdated. Do not rely on AI outputs for medical, legal, financial, or safety-critical decisions without consulting qualified professionals.
- AI responses are generated probabilistically and may contain errors or "hallucinations"
- You are solely responsible for verifying AI-generated information before acting on it
- AI outputs do not constitute professional advice of any kind
- We do not guarantee the accuracy, completeness, or fitness for purpose of AI outputs
- You must not present AI-generated content as your own original work where prohibited (e.g., academic fraud)
88. Payment & Subscriptions
Free Tier: ZildaChat offers a free tier with limited usage. We reserve the right to modify free tier limits at any time.
Paid Plans: Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law.
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
Price Changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance.
Taxes: Prices exclude applicable taxes. You are responsible for all taxes applicable to your use of the Services.
Refunds: Refunds are issued at our discretion, except where required by consumer protection laws in your jurisdiction.
99. Termination
By You: You may terminate your account at any time through Settings → Account → Delete Account. Upon termination, your data will be deleted per our retention policy.
By Us: We may suspend or terminate your account immediately, without notice, if you:
- Violate these Terms or our Acceptable Use Policy
- Engage in fraudulent or illegal activity
- Pose a security risk to our systems or other users
- Fail to pay applicable fees
Effect of Termination: Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect.
1010. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZILDACHAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
Note: Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
1111. Disclaimers & Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.
We do not warrant that:
- The Services will be error-free or uninterrupted
- AI outputs will be accurate, complete, or reliable
- The Services will meet your specific requirements
- Any defects will be corrected
1212. Indemnification
You agree to indemnify, defend, and hold harmless ZildaChat and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Services in violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights
- Any content you submit, post, or transmit through the Services
1313. Governing Law
These Terms are governed by and construed in accordance with applicable law. For users in Brazil, these Terms are subject to Brazilian law, including the Lei Geral de Proteção de Dados (LGPD), the Código de Defesa do Consumidor (CDC), and the Marco Civil da Internet (Lei 12.965/2014).
For EU/EEA users, these Terms are subject to applicable EU law including GDPR. For California users, CCPA/CPRA rights apply as described in our Privacy Policy.
1414. Dispute Resolution
Informal Resolution: Before filing any formal dispute, you agree to contact us at legal@zildachat.ai and attempt to resolve the dispute informally for at least 30 days.
Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration, except where prohibited by law.
Class Action Waiver: To the extent permitted by law, you waive the right to participate in class action lawsuits against ZildaChat.
Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for IP infringement or unauthorized access to the Services.
